This agreement (the "Agreement") is made and entered into as of [Date] (the "Effective Date"), by and between [Party A Name], a [Jurisdiction] entity with its principal place of business at [Address] ("Party A"), and [Party B Name], a [Jurisdiction] entity with its principal place of business at [Address] ("Party B").
WHEREAS, Party A desires to provide certain services or goods to Party B, and Party B desires to receive such services or goods from Party A; and
WHEREAS, the parties wish to establish the terms and conditions under which such services or goods will be provided.
NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Scope of Services/Goods: Party A agrees to provide [describe services or goods] to Party B. The specific details of the services/goods shall be outlined in Exhibit A attached hereto and incorporated herein by reference.
2. Term: This Agreement shall commence on the Effective Date and shall continue until [end date or condition], unless earlier terminated in accordance with the provisions of this Agreement.
